By accessing or using FlagshipRTL ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

FlagshipRTL is an AI-powered purchase order management platform that:

• Connects to your email accounts to access purchase order-related communications
• Uses artificial intelligence to analyze emails and extract structured data
• Processes document attachments (PDFs, spreadsheets, etc.) to identify purchase order information
• Provides tracking, analytics, and management tools for your supply chain operations
• Generates insights and reports based on your data

3. Account Registration

To use the Service, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Be at least 18 years of age

You are responsible for all activities that occur under your account.

4. Email Access and Authorization

By connecting your email account to the Service, you:

• Authorize us to access, read, and process emails relevant to purchase order management
• Confirm you have the necessary rights and permissions to grant this access
• Understand that AI systems will analyze your email content
• Accept that we will store and process data extracted from your emails

You may revoke email access at any time through your account settings. Revoking access may limit your ability to use certain features of the Service.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited communications
• Resell, sublicense, or commercially exploit the Service without authorization
• Use the Service to process data you do not have the right to access
• Circumvent any access controls or usage limits

6. Intellectual Property

The Service, including its software, algorithms, AI models, user interface, and documentation, is owned by FlagshipRTL and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Your Data

You retain all ownership rights to your data. By using the Service, you grant us a limited license to access, process, and store your data solely for the purpose of providing and improving the Service.

7. AI-Generated Content and Accuracy

You acknowledge that:

• AI-generated insights and data extraction may contain errors or inaccuracies
• You are responsible for reviewing and verifying AI-generated content before relying on it
• The Service is designed to assist, not replace, human decision-making
• AI models may occasionally misinterpret email content or document data
• We continuously work to improve accuracy but cannot guarantee error-free results

8. Subscription and Payment

If you subscribe to a paid plan:

• You agree to pay all fees according to your selected plan
• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned downtime when possible.

10. Third-Party Services

The Service integrates with third-party services (e.g., Gmail, Outlook). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Confidentiality

We will treat your data as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law. You agree to maintain the confidentiality of any non-public features or information about the Service.

12. Disclaimer of Warranties

We do not warrant that the Service will be error-free, uninterrupted, or secure. We do not warrant the accuracy of AI-generated content or data extraction.

13. Limitation of Liability

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless FlagshipRTL, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

Either party may terminate this agreement at any time:

• You may cancel your account through your account settings
• We may suspend or terminate your account for violation of these Terms
• We may discontinue the Service with 30 days' notice

Upon termination, your right to use the Service ceases. You may request export of your data within 30 days of termination.

16. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property violations or data breaches.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlagshipRTL.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
